Nexus Controller End User License Agreement

IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING NEXUS CONTROLLER DESKTOP APPLICATION. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT INSTALL, COPY, OR USE THE SOFTWARE. This End-User License Agreement (“EULA”) is a legal agreement between you (referred to hereinafter as “Licensee” or “You”) and Casimir/Company (referred to hereinafter as “Licensor” or “We”) for the software product identified above, which includes computer software and may include associated media, printed materials, and “online” or electronic documentation (“Software”).

1. GRANT OF LICENSE:

Subject to the terms and conditions of this EULA, Licensor grants Licensee a non-exclusive, non-transferable, limited, and revocable license to use the Software for personal or business use in accordance with the documentation provided with the Software.

2. RESTRICTIONS:

2.1 Licensee may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Software.
2.2 Licensee may not modify, adapt, translate, rent, lease, sublicense, loan, distribute, or create derivative works based upon the Software or any part thereof.
2.3 Licensee may not remove or alter any trademark, logo, copyright, or other proprietary notices associated with the Software.

3. OWNERSHIP:

Licensee acknowledges that Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

4. SUPPORT AND UPDATES:

Licensor may provide support and updates for the Software at its sole discretion. Any updates provided to Licensee shall be considered part of the Software and subject to the terms of this EULA.

5. TERMINATION:

This EULA is effective until terminated. Licensee may terminate this EULA at any time by uninstalling and ceasing to use the Software. Licensor may terminate this EULA if Licensee breaches any of its terms. Upon termination, Licensee shall immediately cease using the Software and destroy all copies of the Software in Licensee’s possession or control.

6. DISCLAIMER OF WARRANTY:

THE SOFTWARE IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET LICENSEE’S REQUIREMENTS OR BE ERROR-FREE. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE USE OF THE SOFTWARE, INCLUDING, BUT NOT LIMITED TO, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. “The Nexus Plugin is a stand-alone software/tool developed by Casimir and is in no way associated with the original work and software developed by Keen Software House. Keen Software House has no responsibility for the functionality and/or consequences resulting from using this plugin in the Space Engineers game. The development and support of Nexus Plugin is the sole responsibility of Casimir.”

7. LIMITATION OF LIABILITY:

LICENSOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS EULA SHALL BE LIMITED TO THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW:

This EULA shall be governed by and construed in accordance with the laws of the United States of America. Any legal action or proceeding arising under this EULA shall be brought exclusively in the federal or state courts located within the United States, and the parties hereby consent to personal jurisdiction and venue therein.

9. ENTIRE AGREEMENT:

This EULA constitutes the entire agreement between Licensee and Licensor concerning the Software and supersedes all prior or contemporaneous understandings, representations, and agreements.
